| Zarząd Spółki Vivid Games S.A. (dalej jako: „Spółka”, „Emitent”), informuje, że w dniu 17 marca 2025 zawarł list intencyjny dotyczący ustalenia wstępnych warunków oraz rozpoczęcia negocjacji co do zawarcia umowy zbycia praw do gry Real Boxing 2 (dalej jako: “gra”). Rozmowy prowadzone są z uznaną i doświadczoną spółką zajmującą się produkcją i dystrybucją gier mobilnych, mającą siedzibę w USA. W wyniku zawarcia umowy ostatecznej Emitent może uzyskać korzyści finansowe w znaczącej kwocie, przekraczające 50% przychodów z roku 2024. Zgodnie z treścią listu intencyjnego podjęcie przez strony ostatecznej decyzji co do zawarcia ostatecznej umowy oraz jej szczegółowych warunków nastąpi w ciągu 45 dni od daty podpisania listu. O ostatecznej decyzji Spółka poinformuje odrębnym raportem. Zawarcie umowy nie będzie miało wpływu na prawa Emitenta do produkcji i dystrybucji pozostałych gier z serii Real Boxing, w szczególności planowanej gry Real Boxing 3. Rozmowy obejmują jedynie nabycie praw do Real Boxing 2 i niewyłączną licencję na posługiwanie się tym tytułem. | ||||||||||||

| The Management Board of Vivid Games S.A. (hereinafter: “the Company”, “the Issuer”), informs that on March 17th, 2025 it concluded a letter of intent to set preliminary conditions and start negotiations regarding the conclusion of an agreement for the sale of rights to the game Real Boxing 2 (hereinafter: “the game”). The talks are being held with an established and experienced mobile game production and distribution company based in the US. As a result of the final agreement, the Issuer may receive financial benefits in a significant amount, exceeding 50% of revenues for 2024. According to the letter of intent, the parties will make a final decision on the final agreement and its detailed terms within 45 days from the date of signing the letter. The Company will announce the final decision in a separate report. The conclusion of the agreement will not affect the Issuer's rights to produce and distribute other games in the Real Boxing series, in particular the planned Real Boxing 3. The talks only concern the acquisition of the rights to Real Boxing 2 and a non-exclusive license to use this title.
