| Zarząd spółki PCF Group S.A. z siedzibą w Warszawie („Spółka”) niniejszym informuje, że w dniu 13 marca 2025 r. Spółka zawarła z Sony Interactive Entertainment LLC, z siedzibą w San Mateo w stanie Kalifornia, Stany Zjednoczone Ameryki („Wydawca”) umowę produkcyjną (Prototype Development Agreement) („Umowa Produkcyjna”) dotyczącą współpracy w zakresie produkcji prototypu nowej gry wideo o nazwie kodowej Projekt Delta („Produkt”), opartej o prawa własności intelektualnej należące do Wydawcy. Umowa Produkcyjna przewiduje, że prace nad Produktem będą prowadzone w tzw. modelu work-for-hire, czyli pracy wykonywanej przez Spółkę jako dewelopera na zlecenie i na rzecz Wydawcy, w zamian za co Spółka będzie otrzymywała od Wydawcy uzgodnione wynagrodzenie. Zgodnie z Umową Produkcyjną prace nad Produktem zostaną podzielone na etapy (milestones). Szczegółowe warunki współpracy pomiędzy stronami dotyczące realizacji i płatności za kolejne etapy (milestones) zostały określone w załączniku do Umowy Produkcyjnej (milestone schedule). Zakres i postanowienia Umowy Produkcyjnej nie odbiegają zasadniczo od postanowień umów produkcyjnych standardowo zawieranych przy tego typu projektach. Zawarcie Umowy Produkcyjnej pozostaje w zgodzie z ogłoszoną przez Spółkę w dniu 31 stycznia 2023 r. aktualizacją Strategii Spółki oraz grupy kapitałowej People Can Fly, zgodnie z którą jeśli pojawią się atrakcyjne możliwości współpracy z renomowanymi partnerami w modelu pracy na zlecenie (work-for-hire), wówczas Spółka z nich skorzysta. | ||||||||||||

| Conclusion of a production agreement with Sony Interactive Entertainment LLCThe Management Board of PCF Group S.A. with its registered office in Warsaw (the “Company”) hereby informs that on 13 March 2025 the Company and Sony Interactive Entertainment LLC with its registered office in San Mateo, California, USA (the “Publisher”) concluded a production agreement (Prototype Development Agreement) (the “Production Agreement”), regarding cooperation of the parties in the production of a prototype for a new video game codenamed Project Delta (the “Product”), based on the intellectual property rights owned by the Publisher. The Production Agreement provides that works on the Product will be performed in the work-for-hire model, i.e. by the Company as a developer as commissioned by and for the Publisher in return for which the developer will receive the agreed remuneration from the Publisher. In accordance with the Production Agreement, work on the Product will be divided into milestones. The detailed terms of cooperation between the parties regarding achieving and payment for subsequent milestones are set forth in a milestone schedule to the Production Agreement. The scope and terms of the Production Agreement do not differ substantially from the terms of production agreements typically concluded for this type of project. The conclusion of the Production Agreement is in line with the update of the Strategy of the Company and the People Can Fly capital group announced by the Company on 31 January 2023, according to which if there are commercially attractive opportunities for cooperation with reputable partners in the work-for-hire model, then the Company will take full advantage of them. | |||
